LEGAL PROBLEMS RELATING TO THE LIABILITY OF CONTRACTING PARTIES AND REVOCATION OF UNFAIR CONTRACT TERMS IN FRANCHISE BUSINESS

Abstract

This thesis aims to study legal problems relating to the liability of contracting parties and revocation of unfair contract terms in franchise business. It analyzes Thailand's implementation of guidelines for fair trade practices in franchising under the announcement by the Trade Competition Commission effective since February 4, 2020. Currently, there is no specific legislation in Thailand governing franchising practices comprehensively. Therefore, franchise operators often rely on imported legal frameworks, which may not fully cover contractual liabilities. Additionally, there are disparities between franchisors and franchisees, often leading to unfair contractual terms and excessive responsibilities imposed on franchisees. The study suggests that Thailand should enact direct legislation to regulate franchising comprehensively, aligning it with international standards from countries like the United States, South Korea, and the Netherlands, to address these issues effectively.

The study's findings highlight that the issues associated with franchising operations studied arise from Thailand's lack of specific legal measures overseeing franchise businesses. Although the Trade Competition Commission has issued guidelines defining franchises and requiring disclosure of essential information, as well as stipulating criteria for assessing unfair trade practices under Section 57 of the Trade Competition Act B.E. 2560, these provisions are deemed insufficient. Therefore, Thailand should adopt direct legislation to regulate franchising comprehensively, ensuring coverage of all pertinent aspects.

งานนิพนธ์ฉบับนี้ มีวัตถุประสงค์ในการศึกษาปัญหาทางกฎหมายเกี่ยวกับความรับผิดของคู่สัญญาและการเพิกถอนข้อสัญญาที่ไม่เป็นธรรมในการประกอบธุรกิจแฟรนไชส์ เพื่อวิเคราะห์หาแนวทางแก้ไขปัญหาดังกล่าว ซึ่งประเทศไทยได้มีการบัญญัติแนวทางพิจารณาการปฏิบัติทางการค้าที่ไม่เป็นธรรมในธุรกิจแฟรนไชส์ตามประกาศคณะกรรมการการแข่งขันทางการค้า มีผลใช้บังคับตั้งแต่วันที่ 4 กุมภาพันธ์ 2563 ยังไม่มีกฎหมายแฟรนไชส์เฉพาะเท่าที่ควร จึงต้องนำบทกฎหมายอื่นมาบังคับใช้ ควบคุม กำกับดูแลการประกอบธุรกิจแฟรนไชส์ แต่ด้วยตัวบทกฎหมายที่นำมาบังคับใช้นั้นมีข้อจำกัด และไม่อาจครอบคลุมในเรื่องความรับผิดตามสัญญาแฟรนไชส์ได้ อีกทั้ง สัญญาแฟรนไชส์มีการเอารัดเอาเปรียบ เนื่องจากแฟรนไชส์ซอร์มักจะเป็นฝ่ายที่มีอำนาจเหนือกว่าแฟรนไชส์ซี หรือการขาดความรู้ความเข้าใจในการทำธุรกิจแฟรนไชส์ จนก่อให้เกิดเป็นข้อสัญญาที่ไม่เป็นธรรมในสัญญาแฟรนไชส์และข้อสัญญาที่อาจกำหนดภาระหน้าที่แก่แฟรนไชส์ซีเกินสมควรขึ้น โดยผู้ศึกษามีจุดมุ่งเน้นศึกษากฎหมายไทยควบคู่กับกฎหมายต่างประเทศที่มีการกำกับดูแลและบังคับใช้พระราชบัญญัติแฟรนไชส์เฉพาะ ได้แก่ ประเทศสหรัฐอเมริกา ประเทศเกาหลีใต้ และประเทศเนเธอร์แลนด์ด้วย

ผลการศึกษา ชี้ให้เห็นว่าปัญหาที่เกี่ยวข้องกับการประกอบธุรกิจแฟรนไชส์ที่นำมาศึกษานั้น เนื่องจากประเทศไทยยังไม่มีมาตรการทางกฎหมายอย่างหนึ่งอย่างใดออกมากำกับดูแลในการประกอบธุรกิจแฟรนไชส์ ซึ่งแนวทางพิจารณาการปฏิบัติทางการค้าที่ไม่เป็นธรรมในธุรกิจแฟรนไชส์ตามประกาศคณะกรรมการการแข่งขันทางการค้าได้มีการบัญญัติเกี่ยวกับนิยามของแฟรนไชส์ และการกำหนดให้แฟรนไชส์ซอร์ต้องเปิดเผยข้อมูลที่สำคัญและจำเป็น และกำหนดการพิจารณาการปฏิบัติทางการค้าที่ไม่เป็นธรรมตามมาตรา 57 แห่งพระราชบัญญัติการแข่งขันทางการค้า พ.ศ. 2560 ไว้ แต่ก็ยังไม่ครอบคลุมไม่เพียงพอ ดังนั้น ประเทศไทยจึงควรตรากฎหมายที่จะนำมาใช้บังคับกับการประกอบธุรกิจแฟรนไชส์โดยตรง และกำหนดให้ครอบคลุมทุกประเด็นที่เกี่ยวข้อง
